• Your use of the Services complies with all applicable laws, regulations, and professional standards.

2. Description of Services

SynPACS is a cloud-based radiology reporting platform designed to assist radiologists and healthcare professionals with report creation and workflow efficiency.

Depending on your subscription, the Services may include:

• AI-assisted radiology report generation
• Medical speech-to-text transcription
• Structured reporting templates
• Report editing and formatting tools
• Template management
• Workflow automation
• User preferences and reporting customization
• Integrations with supported PACS, RIS, DICOM viewers, and third-party applications

The Services are intended solely as clinical workflow assistance tools.

All reports generated by SynPACS must be reviewed, edited where necessary, and approved by a qualified healthcare professional before clinical use.

3. Clinical Responsibility

SynPACS does not practice medicine and does not provide medical advice.

You acknowledge that:

• AI-generated content may contain inaccuracies.
• The platform is intended to assist—not replace—the clinical judgment of licensed healthcare professionals.
• Final responsibility for every report rests entirely with the reporting physician.
• Users must independently verify the accuracy and completeness of all reports before signing or distributing them.

SynPACS shall not be responsible for clinical decisions made based on AI-generated content.

4. User Accounts

To access certain features, you must register for an account.

You agree to:

• Provide accurate registration information.
• Keep your information current.
• Maintain the confidentiality of your login credentials.
• Be responsible for all activities conducted under your account.
• Notify us immediately if you believe your account has been compromised.

We reserve the right to suspend or terminate accounts involved in unauthorized or fraudulent activities.

5. Acceptable Use

You agree to use SynPACS AI only for lawful purposes.

You shall not:

• Attempt to reverse engineer or decompile the software.
• Circumvent security mechanisms.
• Interfere with platform stability or performance.
• Introduce malware or malicious code.
• Use the Services to violate applicable laws or regulations.
• Share your account credentials with unauthorized users.
• Use automated systems to access the Services without written authorization.

Violation of this section may result in immediate suspension or termination.

6. Data Responsibility

You remain solely responsible for all information submitted to SynPACS.

You are responsible for ensuring that your use of the platform complies with all applicable privacy, healthcare, and data protection laws, including those applicable in your jurisdiction.

Where applicable, your organization is responsible for obtaining all required patient consents and legal authorizations before using the Services.

7. Patient Data and Privacy

SynPACS is designed with privacy and security in mind.

Users are responsible for ensuring that any patient information uploaded or processed through the platform complies with applicable regulations, institutional policies, and contractual obligations.

You acknowledge that you remain the data controller (or equivalent legal role) for any clinical information processed using the Services.

Our collection, storage, and processing of information are governed by our Privacy Policy.

8. AI Output

The Services utilize artificial intelligence to assist in generating reports and other clinical content.

AI-generated outputs:

• Are generated automatically.
• May occasionally be incomplete or inaccurate.
• Should never be considered final without professional review.
• May require modification before clinical use.

SynPACS makes no guarantee regarding the medical accuracy or completeness of AI-generated content.

9. Subscription and Billing

Subscription plans may include monthly or annual billing.

By subscribing, you agree to:

• Pay all applicable subscription fees.
• Authorize recurring billing where applicable.
• Pay any taxes required under applicable law.

Unless cancelled before the renewal date, subscriptions automatically renew for successive billing periods.

Pricing, features, and limits may change from time to time. Material pricing changes will take effect only after prior notice.

10. Cancellation

You may cancel your subscription at any time through your account or by contacting our support team.

Cancellation prevents future renewals but does not entitle you to refunds for unused portions of the current billing period unless required by applicable law or expressly stated in our Refund Policy.

11. Intellectual Property

All software, algorithms, interfaces, source code, graphics, branding, documentation, and platform content remain the exclusive property of SynPACS or its licensors.

Nothing in these Terms transfers ownership of our intellectual property to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your active subscription.

12. Ownership of User Content

You retain ownership of:

• Reports you create
• Templates you design
• Personal preferences
• Uploaded content

You grant SynPACS a limited license to process such content solely for the purpose of providing the Services.

Unless explicitly authorized by you, we do not claim ownership of your clinical content.

13. Availability of Services

While we strive for high availability, uninterrupted access cannot be guaranteed.

The Services may occasionally be unavailable due to:

• Scheduled maintenance
• Software updates
• Infrastructure failures
• Third-party service interruptions
• Force majeure events

We reserve the right to modify, suspend, or discontinue any feature without prior notice.

14. Third-Party Services

The platform may integrate with third-party software, APIs, or services.

We are not responsible for:

• Third-party availability
• Third-party security
• Third-party pricing
• Third-party policies
• Data handled by external providers

Your use of third-party services is governed by their respective terms.

15. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, SynPACS disclaims all warranties, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy
• Reliability
• Continuous availability

We do not warrant that the Services will be error-free or uninterrupted.

16. Limitation of Liability

To the maximum extent permitted by law, SynPACS, its directors, officers, employees, affiliates, licensors, and partners shall not be liable for:

• Clinical errors
• Incorrect diagnoses
• Treatment decisions
• Loss of data
• Business interruption
• Loss of revenue
• Loss of profits
• Indirect or consequential damages

Our total aggregate liability for any claim shall not exceed the subscription fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless SynPACS and its officers, employees, affiliates, contractors, and licensors from any claims, liabilities, losses, damages, costs, or expenses arising from:

• Your use of the Services.
• Your violation of these Terms.
• Clinical decisions made using AI-generated content.
• Violation of applicable laws or regulations.
• Infringement of third-party rights.

18. Suspension and Termination

We may suspend or terminate your account immediately if:

• You violate these Terms.
• Required payments remain unpaid.
• Fraudulent or abusive activity is detected.
• Continued access poses security or legal risks.

Termination does not relieve you of any payment obligations already incurred.

19. Changes to the Services

We continuously improve SynPACS AI.

Accordingly, we may:

• Add new features.
• Modify existing functionality.
• Remove obsolete features.
• Introduce new subscription plans.
• Update technical requirements.

These changes may occur without prior notice unless otherwise required by law.

20. Changes to These Terms

We may revise these Terms periodically.

Updated versions will be published on our website together with the revised Effective Date.

Continued use of the Services after such updates constitutes acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India.
